Acceptable Use Policy

This Acceptable Use Policy ("AUP") sets out the rules governing your use of NudgePro and its associated services, operated by Planet Sense Pty Ltd ("Planet Sense", "we", "us", "our"). This AUP is incorporated by reference into our Terms of Service. Capitalised terms not defined here have the meaning given in the Terms of Service.

NudgePro is designed to automate legitimate procurement follow-up between businesses and their existing suppliers. We expect all users to act responsibly and in accordance with this policy.

You may use NudgePro to:

• Send automated follow-up emails to vendors with whom you have an existing, legitimate business relationship
• Track and manage purchase orders for your organisation's genuine procurement activity
• Import purchase order data from your connected Xero or MYOB account
• Use AI-assisted features to classify vendor responses and draft replies for your review
• Provide vendors with secure portal access to update order status and ETAs
• Generate procurement analytics and reports for internal business use

You must not use NudgePro to:

• Send unsolicited communications — Do not use NudgePro to contact individuals or organisations with whom you do not have a pre-existing business relationship, or who have not provided valid consent under the Spam Act 2003 (Cth)
• Harass or intimidate vendors — Do not send excessive, threatening, abusive, or harassing communications to suppliers
• Misrepresent your identity — Do not impersonate another organisation or individual, or use false contact details
• Exceed reasonable volume — Do not use NudgePro to send bulk communications beyond the ordinary course of procurement follow-up. Automated nudge rules must reflect genuine purchase orders
• Circumvent security controls — Do not attempt to bypass authentication, access controls, rate limits, or other security measures
• Reverse engineer the Service — Do not attempt to decompile, disassemble, or otherwise reverse engineer NudgePro or its underlying technology
• Resell or sublicense — Do not resell, sublicense, or otherwise commercialise access to NudgePro without our written consent
• Introduce malware — Do not upload or transmit viruses, malicious code, or any content designed to disrupt, damage, or gain unauthorised access to systems
• Violate laws — Do not use NudgePro for any purpose that violates applicable Australian or international laws, including privacy laws, anti-spam laws, and consumer protection laws
• Scrape or harvest data — Do not use automated tools to extract, scrape, or harvest data from the platform beyond normal use

All automated nudges sent through NudgePro must comply with the Spam Act 2003 (Cth). This means:

• Every nudge email includes a clear opt-out mechanism. You must honour opt-out requests promptly — NudgePro will suppress future nudges to any vendor who opts out
• Your organisation's name and contact details are clearly identified in every automated email
• Nudges are sent only in relation to genuine, active purchase orders
• You must not configure nudge rules with the intent to pressure, harass, or damage the reputation of a vendor

Planet Sense complies with the Spam Act and expects users to do the same. If we receive credible complaints about spam or harassment originating from your account, we may suspend your access while we investigate.

NudgePro uses AI (Anthropic Claude) to classify vendor responses and suggest draft replies. You acknowledge that:

• AI-generated classifications and draft responses are suggestions only and must be reviewed by a human before use
• You are solely responsible for any communications sent from your account, including those based on AI suggestions
• You must not attempt to manipulate or "jailbreak" AI features to generate harmful, misleading, or inappropriate content

NudgePro is designed for small-to-medium business procurement. Subscription plans include defined limits on purchase orders, vendors, and email volume. You agree to use the Service within the limits of your plan. Sustained use significantly in excess of plan limits may result in throttling or a request to upgrade.

If you become aware of any use of NudgePro that violates this AUP — including spam, harassment, or abuse of the vendor portal — please report it to us at support@nudgepro.com.au. We take all reports seriously and will investigate promptly.

We reserve the right to investigate any suspected violation of this AUP. Where we determine a violation has occurred, we may take action including:

• Issuing a warning
• Temporarily suspending your account
• Permanently terminating your account
• Reporting unlawful conduct to relevant authorities

We will use reasonable judgment in determining the appropriate response. Serious or repeated violations will result in immediate termination without refund.

We may update this AUP from time to time. We will notify you of material changes via email at least 14 days before they take effect. Continued use of the Service constitutes acceptance of the updated AUP.
