Terms of Service

These Terms of Service ("Terms") govern your access to and use of NudgePro, a cloud-based procurement expediting service operated by Planet Sense Pty Ltd (ABN to be confirmed) ("Planet Sense", "we", "us", or "our") at nudgepro.com.au. By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

These Terms constitute a binding contract between you and Planet Sense. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

NudgePro is an automated procurement expediting platform that integrates with accounting software (including Xero) to monitor purchase orders and automatically follow up with vendors via email. Features include AI-assisted vendor response classification, customisable nudge rules, a vendor portal for supplier updates, and analytics reporting.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice where practicable.

To use NudgePro you must create an account using a valid business email address. You agree to:

• Provide accurate and complete information during registration
• Keep your account credentials confidential and not share them with others
• Notify us immediately at support@nudgepro.com.au if you suspect unauthorised access
• Be responsible for all activity that occurs under your account

You must be at least 18 years of age and have the legal authority to enter into contracts to use NudgePro.

NudgePro offers paid subscription plans billed in Australian Dollars (AUD) via Stripe. By subscribing you authorise Planet Sense to charge your nominated payment method on a recurring monthly or annual basis.

Free trial

• All paid plans include a 14-day free trial with full access — no credit card required
• Your plan's PO limits apply during the trial period
• At the end of the trial, continued access requires a paid subscription

Plans and billing cycle

• Plans are billed monthly or annually in AUD; annual billing offers a 17% discount
• Subscriptions renew automatically on the anniversary date unless cancelled beforehand
• Cancellation takes effect at the end of the current billing period — no refunds for partial periods

Plan limits and overages

• Each plan includes a monthly limit on tracked purchase orders
• If you exceed your PO limit, additional POs are charged at $2.00 per PO per month
• You will receive a warning when approaching your limit; overages are invoiced in the following billing period

Plan changes

• Upgrades take effect immediately and your next bill will be prorated accordingly
• Downgrades take effect at the end of your current billing period

Payment failures

• Failed payments will be retried automatically; if payment continues to fail, your account may be suspended
• You are responsible for keeping your payment information current in account settings

GST: Prices displayed are exclusive of GST unless stated otherwise. GST at 10% applies to Australian customers.

Your use of NudgePro must comply with our Acceptable Use Policy, which is incorporated into these Terms by reference. In summary, you agree not to use the Service to send unsolicited communications, harass vendors, circumvent system limitations, or engage in any activity that is unlawful or harmful to others.

NudgePro integrates with third-party services including Xero (accounting), Stripe (payments), Resend (email delivery), and Anthropic (AI classification). Your use of these integrations is also subject to the respective third-party terms of service.

When you connect your Xero account, you authorise NudgePro to access purchase order and vendor data in read-only mode for the purposes of operating the Service. We will not write financial data back to Xero except where you explicitly enable writeback features.

Planet Sense is not responsible for the availability or accuracy of data provided by third-party integrations, or for any loss arising from your reliance on such data.

Planet Sense retains all intellectual property rights in NudgePro, including the software, brand, design, and documentation. These Terms do not grant you any rights to our intellectual property other than a limited, non-exclusive, non-transferable licence to use the Service for your internal business purposes.

You retain ownership of your data. By using the Service, you grant Planet Sense a limited licence to process your data solely as necessary to provide and improve the Service.

Our collection and use of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. We comply with the Privacy Act 1988 (Cth) and the Australian Privacy Principles. Your data is stored in Australia (AWS Sydney region, ap-southeast-2).

To the extent permitted by law, NudgePro is provided "as is" without warranties of any kind. We do not warrant that the Service will be uninterrupted, error-free, or that vendor responses or AI classifications will be accurate.

Nothing in these Terms excludes or limits any rights you have under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010) that cannot be excluded or limited by law.

To the maximum extent permitted by law, Planet Sense's total liability to you for any claim arising from or related to these Terms or the Service is limited to the fees you paid to us in the three (3) months preceding the event giving rise to the claim.

Planet Sense is not liable for any indirect, incidental, consequential, special, or exemplary loss or damage, including but not limited to loss of profit, loss of revenue, loss of data, or loss of business opportunity, even if we have been advised of the possibility of such damages.

You agree to indemnify and hold harmless Planet Sense, its officers, directors, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Service, your breach of these Terms, or your violation of any law or third-party rights.

We may suspend or terminate your account if you materially breach these Terms and fail to remedy the breach within 14 days of written notice, or immediately for serious breaches (including fraudulent use or misuse causing harm to others). Upon termination, your right to access the Service ceases immediately.

You may terminate your account at any time via your account settings. On termination, we will retain your data for up to 90 days, after which it will be deleted in accordance with our Privacy Policy.

These Terms are governed by the laws of Queensland, Australia. You irrevocably submit to the non-exclusive jurisdiction of the courts of Queensland and the Federal Court of Australia for any dispute arising under these Terms.

We may update these Terms from time to time. We will notify you of material changes via email at least 14 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
