1. Acceptance of Terms
By creating an account or using NudgePro, you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use NudgePro.
2. Service Description
NudgePro is a procurement expediting SaaS platform that automates follow-up communications with your vendors regarding purchase orders. Planet Sense Pty Ltd provides the platform “as is” and reserves the right to modify features with reasonable notice.
3. Account Responsibilities
- You are responsible for maintaining the security of your account credentials
- You must provide accurate and complete information when registering
- You must have the authority to bind your organisation to these terms
- You must not share your account with unauthorised users
4. Acceptable Use
You must not use NudgePro to:
- Send unsolicited communications to parties unrelated to your purchase orders
- Violate the Australian Spam Act 2003
- Harass, threaten, or intimidate vendors
- Upload malicious code or attempt to compromise the platform
- Resell or sublicense access to NudgePro
5. Email Communications
NudgePro sends emails to your vendors on your behalf. You acknowledge that:
- You are responsible for ensuring your vendors have a legitimate business relationship with your organisation
- All automated emails include an unsubscribe option as required by law
- NudgePro is not responsible for vendor responses or lack thereof
6. Subscription and Billing
- Plans are billed monthly or annually in Australian Dollars (AUD)
- Subscriptions renew automatically unless cancelled before the renewal date
- Cancellation takes effect at the end of the current billing period
- Refunds are not provided for partial billing periods
- Planet Sense Pty Ltd reserves the right to change pricing with 30 days notice
7. Data and Privacy
Your use of NudgePro is subject to our Privacy Policy. You retain ownership of your data. We will not access your data except to provide the service or as required by law.
8. Limitation of Liability
To the maximum extent permitted by Australian law, Planet Sense Pty Ltd is not liable for indirect, incidental, or consequential damages arising from your use of NudgePro. Our total liability is limited to the fees paid in the 3 months preceding the claim.
9. Governing Law
These terms are governed by the laws of Queensland, Australia. Any disputes will be resolved in the courts of Queensland.
